Negotiation in the Technology Industry– An Innovative new course at TAU Law

The course, on Negotiation in the Technology Industry, will be taught by Mr. Rick Kaplan, Country General Manager, IBM Israel.

The focus of the course is development of basic negotiating skills in the context of global technology agreements.  Students will use developed fact patterns for active negotiations one-on-one, two-on-two, and four-on-four, with both immediate and group feedback.  Specific legal subject matter issues will include  multi-jurisdictional contract issues, Intellectual Property including patents, trademark and trade secrets, Confidentiality, Indemnities, Limits of Liability (including issues with consequential and direct damages and increased liability for Gross Negligence and Willful Misconduct), and HR-related issues.  Negotiation subjects will include understanding leverage, risk balancing, preparation, negotiating styles and the importance of building trust.

Mr. Kaplan has been the IBM Israel Country General Manager since May 2012. He has used his vast global experience to bring to Israel top IBM talent in the areas of creating globally integrated enterprises; data center design, build and transformation; and delivering cutting-edge solutions around big data, analytics, cloud, mobile and security.

Prior to joining IBM Israel, Mr. Kaplan was the Chief Trust and Compliance Officer for IBM globally, leading a team of compliance professionals who worked with IBM employees, business partners and clients around the world to help ensure that business is conducted with integrity. Prior to this position, Mr. Kaplan was Vice President and Assistant General Counsel at IBM Global Services, responsible for risk management, high level business negotiations and delivery of legal services worldwide for IBM’s 100,000 person consulting, systems integration, application maintenance services and business transformation outsourcing unit. He has also been IBM’s partnership executive for the Israeli Ministry of Defense for many years. Mr. Kaplan earned his undergraduate degree in Mechanical Engineering from Brown University in 1977 and graduated from Cornell Law School in 1984.

The course is offered to our International LL.M students, exchange students, and our Israeli LL.B students.
